Terms of Use

By accessing or using Vauchly — including its website, mobile application, and any related services (collectively, the "Platform") — you agree to be bound by these Terms of Use ("Terms"). If you do not agree, you must not access or use the Platform.

These Terms constitute a legally binding agreement between you ("User", "you") and Vauchly ("we", "us", "our"). We reserve the right to update these Terms at any time. Continued use of the Platform after changes are posted constitutes acceptance of the revised Terms.

To use Vauchly, you must:

• Be at least 18 years of age.
• Have the legal capacity to enter into binding contracts.
• Not be prohibited from using the Platform under applicable laws.
• Provide accurate, complete, and up-to-date registration information.

By creating an account, you represent and warrant that you meet all eligibility requirements. We may suspend or terminate accounts that are found to be in violation.

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to:

Vauchly provides a marketplace that enables:

We act solely as a platform intermediary. We are not a party to any transaction, employment arrangement, or freelance contract between users.

All content you post on Vauchly — including listings, job postings, proposals, and profile information — must be accurate, lawful, and non-deceptive. You agree not to post content that:

• ✕Is false, misleading, or fraudulent in any material way.
• ✕Infringes on any third-party intellectual property, trademark, or copyright.
• ✕Promotes illegal goods, services, or activities.
• ✕Contains malware, phishing links, or other harmful code.
• ✕Harasses, threatens, or discriminates against other users.
• ✕Violates any applicable local, national, or international law or regulation.

We reserve the right to remove any content that violates these standards without prior notice.

Certain features and transactions on Vauchly are subject to fees. By initiating a transaction, you agree to pay all applicable fees as displayed at the time of the transaction.

All fees are quoted in the currency displayed on the Platform. We are not responsible for currency conversion charges imposed by your bank or payment provider. Disputes regarding charges must be raised within 30 days of the transaction date.

For eligible transactions, Vauchly offers an escrow service to protect both buyers and sellers. When escrow is used:

• Funds are held securely by Vauchly until both parties confirm the transaction is complete.
• The buyer has an inspection window (specified at time of transaction) to raise disputes.
• Funds are released to the seller once the inspection window closes without dispute, or upon mutual agreement.
• Disputes are handled through our Resolution Centre (see Section 11).

Vauchly's escrow service does not guarantee the quality, legality, or fitness for purpose of any business or asset transacted on the Platform.

All content, trademarks, logos, and software comprising the Vauchly Platform — excluding user-generated content — are owned by or licensed to Vauchly and protected by applicable intellectual property laws.

By posting content on the Platform, you grant Vauchly a non-exclusive, royalty-free, worldwide licence to use, display, and distribute that content solely for the purposes of operating and promoting the Platform. You retain ownership of your content.

You may not copy, reproduce, modify, or distribute any part of the Platform without our prior written consent.

You agree not to engage in any of the following:

Violation of this section may result in immediate account suspension, termination, and legal action where appropriate.

Vauchly facilitates connections between clients and freelancers but is not an employer, staffing agency, or party to any freelance agreement.

• Freelancers are solely responsible for the quality of their work, meeting agreed deadlines, and complying with tax obligations in their jurisdiction.
• Clients are responsible for providing clear briefs, making timely payments, and treating freelancers with respect.
• Both parties must honour the terms of any contract formed through the Platform and resolve disputes in good faith before escalating to our Resolution Centre.

In the event of a dispute between users, we encourage both parties to resolve the matter directly and in good faith. If resolution cannot be reached, you may open a case through our Resolution Centre.

The Platform is provided on an "as is" and "as available" basis without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or free of viruses.

To the fullest extent permitted by applicable law, Vauchly shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including losses relating to:

• Failed or fraudulent transactions between users.
• Loss of profits, data, goodwill, or business opportunities.
• Unauthorised access to your account.
• Reliance on content posted by other users.

Our total aggregate liability for any claim arising under these Terms shall not exceed the total fees paid by you to Vauchly in the 3 months preceding the claim.

We reserve the right to suspend or terminate your account at any time, with or without notice, for conduct that we determine, in our sole discretion, violates these Terms or is harmful to other users, us, or third parties.

You may close your account at any time by contacting support@vauchly.com. Upon termination, your right to use the Platform ceases immediately. Wallet balances subject to active disputes will be held until resolved.
